Amphenol to Acquire Trexon

Amphenol Corporation announced a definitive agreement to acquire Trexon for approximately $1 billion in cash, subject to customary post-closing adjustments. Trexon is a leading provider of high-reliability interconnect and cable assemblies primarily for the defense market. Headquartered in Boston, Massachusetts and with facilities in the U.S. and the U.K., Trexon is expected to have 2025 sales and EBITDA margins of approximately $290 million and 26%, respectively.

The transaction is subject to certain regulatory approvals and other customary closing conditions. Amphenol will finance the transaction with cash on hand and expects to close in the fourth quarter of 2025. The acquisition will be included in the Harsh Environment Solutions segment and is expected to be accretive to Amphenol’s earnings per share in the first year post closing.
