Solectron Signs Definitive Agreement to Sell Dy 4 Systems

Milpitas, Calif. and Ottawa, Canada — Solectron Corp. has signed a definitive agreement to sell its Dy 4 Systems business to Curtiss-Wright Corp.
The transaction is expected to close in early 2004.
Dy 4 is a leading supplier of commercial off the shelf (COTS) embedded computing solutions for the aerospace and defense markets. Dy 4 will join Curtiss-Wright's Vista Controls division, forming the world's premier provider of mission-critical embedded computing solutions for the aerospace and defense industries.
Under the terms of the agreement, Curtiss-Wright will acquire Dy 4 for $110 million. The transaction is part of Solectron's previously announced plan to sell certain assets that are not central to the company's future strategy.
